The Commercial Companies Law

We have gained our experience with commercial companies law over the course of implementation of large tax and business restructuring projects. Within the framework of such projects, we have handled (1) merger projects, including cross–border mergers, (2) companies’ transformation projects, including transformation of partnerships into capital companies, (3) companies’ division projects, including division by separation, as well as (4) liquidation projects involving companies, branches and representative offices of foreign entrepreneurs. We are able to provide professional legal services for all above mentioned projects.

Our legal support entails legal support provided to Management Boards, Supervisory Boards and any other company bodies in their everyday work. Moreover, we arrange and lead shareholders’ meetings, also in cases involving shareholders with contradictory interests.

The services provided by the Law Firm Strumiński Brucko-Stępkowski include amendment of companies’ Articles of Association, granting additional payments by shareholders of limited liability companies, dividend payment (including dividend pre–payment), increase and decrease of the share capital, compulsory buy-out and share redemption.
